Introduction
David graduated from the University of Wales as a Bachelor of Laws with Honours. He successfully completed the Law Society’s Finals Course and then undertook training with a large commercial firm of Solicitors in the West Midlands.
He completed his training in 1989 having handled a wide variety of Corporate and Commercial transactions. He then moved to the Corporate Department of Wragge & Co in Birmingham where he remained for three years specialising in Corporate and Commercial work.
During his work as a member of the Corporate Department at Wragge & Co, David dealt with Merger and Acquisition work, Agency and Distribution, Franchise Law, Banking and Corporate Finance, Management Buy - Outs and Buy - Ins and Company
and Commercial matters generally.
David’s knowledge of Corporate/Commercial and Company Law is both wide-ranging and detailed. He takes pride in offering practical advice tailored to the needs of the client in order to achieve his client’s objective. He is well known throughout the West Midlands for his straight forward approach and his in-depth knowledge.
Company and Commercial
Comprehensive and detailed knowledge and experience in the purchase and sale of Companies and Businesses across all sectors including: -
- The automotive industry and associated industries. David has acted for a number of years for one of the largest producers of local authority vehicles and vehicles commissioned by the Ministry of Defence.
- Engineering industries
- Shops (including pharmacy businesses) and general trading interests
- Electronic, electrical and associated sectors
Corporate Services
- Attendance of board meetings and advising at board level

Banking and Corporate Finance
David has acted in connection with the granting and taking of securities, including Mortgages, Debentures, Chattel Mortgages, and Pledges. He has a wide number of contacts throughout the corporate finance sector and is often able to assist in the sourcing of finance and accounting.
David has acted for a number of lending institutions in relation to secured lending and perfecting the security taken.
The most unusual secured lending matter in which he has been involved was in advising a secured lender on taking a chattel mortgage on a collection of vintage cars!
Agency and Distribution
- Acting for both Principals and Agents and advising generally on agency and distribution documents
- Producing Agency and Distribution documentation
- Advising generally in relation to the Commercial Agents (Council Directive)Regulations 1993
General Company Commercial matters
- Advising at shareholder level and at board level generally
- Advising in connection with Shareholders Agreements and the interpretation and enforcement of them
- Giving general advice on procedural requirements in relation to compliance with Company Law and associated matters
- Advising on companies’ constitutions involving rights attaching to shares and on share capital structure where different classes of shares are involved, and producing documentation to provide for different classes of shares
Partnerships and Limited Liability Partnerships
David has advised extensively in respect of Partnerships and Limited Liability Partnerships pursuant to the Limited Liability Partnerships Act 2000.
He has dealt with a number of partnership dissolutions, principally by negotiation.
Franchise Law
Having acted for both Franchisors and Franchisees, David has in-depth knowledge of all areas of Franchise Law, and in particular the production of franchise documentation and the interpretation of such documentation.
Franchises which David has dealt with include household names in catering, hairdressing, fast food and others.
